Poured Goods Wholesale Terms of Service

These Wholesale Terms of Service (“Terms”) apply to all wholesale purchases made through wholesale.pouredgoods.com and govern the relationship between Poured Goods (“Poured Goods,” “we,” “us,” or “our”) and the purchasing retailer (“Retailer,” “you,” or “your”).
By placing a wholesale order, you agree to the terms outlined below.
1. Wholesale Scope
These Terms apply exclusively to wholesale customers and wholesale transactions. They do not apply to retail purchases or consumer-facing websites.
2. Pricing, Discount Tiers & Programs

Wholesale pricing, discount tiers, rewards programs, and promotional structures (including Margin Builder and shipping incentives) may be modified, paused, or discontinued at any time at Poured Goods’ discretion.

Pricing changes or program updates are not retroactive and will not apply to previously placed or fulfilled orders.

Discount tiers may be conditionally combined (for example: qualifying order volume plus earned shipping rewards), subject to program rules at the time of order.

Poured Goods reserves the right to exclude specific SKUs, collections, or products from any discount tier, promotion, or rewards program at any time.

Discounts apply only to qualifying orders and do not stack beyond the best applicable offer, unless explicitly stated.
3. Orders, Payment & Fulfillment

All wholesale orders are prepaid, unless separate written contract terms have been negotiated.

An order is considered accepted at the time it is placed, subject to inventory availability and review.

All wholesale sales are final. No cancellations, returns, or refunds are accepted once an order is placed.

Standard wholesale lead time is 4–7 business days, excluding weekends and holidays.

Contract manufacturing and private label projects have custom lead times based on scope, materials, and approval timelines.

Partial shipments may occur when inventory or production timing requires it.
4. Shipping & Delivery

Shipping costs are the responsibility of the Retailer unless otherwise stated via an active promotion or earned reward.

Shipping rates will not be modified after checkout due to carrier cost changes.

Poured Goods is not responsible for carrier delays, transit issues, or delivery failures once the order has left our facility.

Freight and LTL shipments are handled separately and will be billed accordingly, including any accessorial charges.
5. Damages, Quality Issues & Claims

Any damage or quality issues must be reported within 7 days of delivery with supporting photos.

Claims submitted after this window may not be eligible for resolution.

At Poured Goods’ discretion, approved claims may result in:

Replacement product, or
-
Store credit
Refunds are not guaranteed.

Normal wear, misuse, or improper storage are not considered defects.
6. Private Label & Custom Orders

All private label and custom orders are final sale.

Lead times may vary based on material availability, approvals, and project scope.

If the client supplies artwork, labels, or components, the client retains ownership.
If supplied or created by Poured Goods, materials remain the property of Poured Goods unless otherwise agreed in writing. -
Minimum order quantities and pricing are subject to change.
7. Brand Protection & Resale Restrictions

Wholesale products may not be resold on:

Amazon
-
Etsy
-
Faire
-

Poured Goods reserves the right to approve, restrict, or terminate wholesale access for any reason, including but not limited to brand misuse, resale violations, or chargebacks.

Poured Goods retains final authority over how its products are marketed, represented, and positioned by third parties.
8. Account Use & Access

Wholesale accounts may be suspended or terminated at any time at Poured Goods’ discretion.

Abuse of pricing, rewards programs, or account privileges may result in immediate termination.

Account sharing is prohibited.
9. Limitation of Liability
Poured Goods shall not be liable for indirect, incidental, or consequential damages arising from wholesale transactions, including but not limited to lost profits, delays, or carrier-related issues.
10. Force Majeure
Poured Goods shall not be held responsible for delays or failures resulting from events beyond our control, including acts of God, supply chain disruptions, labor shortages, or carrier interruptions.
11. Governing Law
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles.
12. Changes to Terms
Poured Goods reserves the right to update or modify these Terms at any time. Continued use of the wholesale site constitutes acceptance of the current Terms.
