These Terms of Service (“Terms”) govern your access to and use of the Poured Goods Wholesale website and services (the “Services”), operated by Poured Goods LLC (“Poured Goods,” “we,” “us,” or “our”). By accessing or placing an order through our wholesale platform, you agree to be bound by these Terms.

1. Wholesale-Only Sales

Poured Goods Wholesale is a business-to-business (B2B) platform. All purchases are made for resale or commercial use only. Consumer purchases are not permitted.

2. Pricing, Margin Builder Program & Shipping Incentives

All pricing, product availability, and program terms are subject to change without notice. Pricing is locked only at the time an order is successfully placed and accepted. Past pricing, quotes, or historical purchase terms do not guarantee future pricing or availability unless expressly agreed to in writing by Poured Goods.

• We may offer tiered pricing, margin programs, shipping incentives, or rewards programs (including but not limited to the “Margin Builder Program”) from time to time.
• Eligibility for pricing tiers or free shipping benefits is determined solely by Poured Goods.
• Programs may be modified, paused, or discontinued at any time.
• Free shipping or incentives may be earned based on qualifying spend within a defined period and may apply conditionally.
• Past orders may not retroactively qualify toward new or updated programs.
• Poured Goods reserves the right to exclude specific customers, products, or order types from any program.

3. Orders, Payment & Lead Times

• All wholesale orders are prepaid unless otherwise contractually agreed.
• Payment is due at the time an order is placed.
• All wholesale sales are final.
• Standard wholesale lead time is 4–7 business days unless otherwise stated.
• Contract manufacturing and private label projects follow timelines defined by project scope and agreement.
• Partial shipments may occur when necessary.
• Poured Goods reserves the right to accept, reject, or cancel any order at its sole discretion, including in the event of pricing errors, inventory discrepancies, or suspected misuse of the platform.

4. Shipping & Risk of Loss

• Shipping charges are calculated at checkout unless otherwise specified.
• Poured Goods is not responsible for carrier delays, lost shipments, or force majeure events.
• Less-than-truckload (LTL) shipments are handled separately and billed accordingly.
• Risk of loss transfers to the customer upon carrier pickup.

5. Product Formulation & Variability

Poured Goods continuously refines and improves its products to maintain quality, performance, safety, and regulatory compliance. As a result, materials, components, fragrance formulations, wax blends, wicks, vessels, or other product elements may be updated or modified from time to time without prior notice.

Such changes do not alter the intended use, safety profile, or overall quality of the product. Minor variations in scent throw, appearance, burn characteristics, or performance are inherent to handmade and small-batch goods and are not considered defects.

Poured Goods reserves the right to make formulation, sourcing, or manufacturing changes at any time.

6. Quality Assurance, Returns & Refunds

• All products are subject to internal quality control prior to shipment.
• Claims for damaged or defective goods must be reported within a reasonable timeframe after delivery.
• Refunds, replacements, or credits are issued at the sole discretion of Poured Goods.
• Formulation updates or product variability, as described above, are not considered defects.
• Wholesale customers are responsible for proper storage, display, handling, and resale of Poured Goods products once delivered. Poured Goods is not responsible for issues arising from improper storage conditions, misuse, or resale practices beyond our control.

7. Intellectual Property & Marketing Restrictions

• Poured Goods products may not be sold on Amazon, Etsy, Faire, or similar third-party marketplaces without written approval.
• We reserve the right to approve or deny how our products are marketed or represented.
• Violation of these restrictions may result in termination of wholesale access.
• Poured Goods does not guarantee geographic exclusivity unless expressly agreed to in writing. Unauthorized resale channels or representations may result in suspension or termination of wholesale access.

8. Account Termination

Poured Goods reserves the right to suspend or terminate accounts for any reason, including but not limited to misuse of pricing, misrepresentation, or violation of these Terms.

9. Limitation of Liability

To the fullest extent permitted by law, Poured Goods shall not be liable for any indirect, incidental, consequential, or special damages arising out of or related to the use of our Services or products.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to conflict of law principles.

11. Force Majeure

Poured Goods shall not be liable for failure or delay in performance due to causes beyond our reasonable control, including acts of God, labor disputes, supply chain disruptions, or carrier failures.

12. Changes to These Terms

We may update these Terms from time to time. Continued use of the Services constitutes acceptance of the updated Terms.
